1. Introduction

Welcome to ChurchManager, a church management system. By accessing or using our Service, you agree to be bound by these Terms and Conditions. If you disagree with any part of these, you may not access the Service.

These Terms constitute a legally binding agreement between you and ChurchManager, Inc. regarding your use of the Service. Please read them carefully.

2. Definitions

Throughout these Terms, the following definitions apply:

• "Service" refers to the ChurchManager church management system, including all features, functionalities, and user interfaces.
• "User" refers to individuals who access or use the Service, including administrators, staff members, and congregation members.
• "Content" refers to all information, data, text, images, videos, audio files, or other materials uploaded, downloaded, or appearing on the Service.
• "Subscription" refers to the paid access to the Service according to the selected plan.
• "Church" refers to the religious organization that has subscribed to the Service.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and your church organization.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account if, in our opinion, you have violated any provision of these Terms.

Account administrators are responsible for managing user access within their organization and ensuring that all users comply with these Terms.

4. Subscription Terms and Payment

The Service is offered on a subscription basis. Subscription fees are based on the plan selected and the number of active members in your database.

Payment must be made in advance, either annually or as otherwise specified in your subscription plan. All fees are non-refundable except as expressly provided in these Terms.

We reserve the right to change subscription fees upon thirty (30) days' notice. Such notice may be provided by email or by posting the changes on the Service.

If payment is not received by the due date, we may suspend your access to the Service until payment is made.

You may upgrade or downgrade your subscription plan at any time, subject to the terms and limitations of each plan.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by ChurchManager, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works, publicly display, publicly perform, republish, download, store, transmit, or exploit any of the material on our Service, except as follows:

• Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

No right, title, or interest in or to the Service or any content on the Service is transferred to you, and all rights not expressly granted are reserved by ChurchManager, Inc.

6. User Content and Data

Our Service allows you to upload, store, and share content, including but not limited to member information, event details, financial records, and communication materials.

You retain all rights to your content. By uploading content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or control all rights to the content you upload.
• All content you upload is accurate and not misleading.
• Your content does not violate these Terms or any applicable law.
• You have obtained all necessary consents and permissions to store and process personal information of individuals in your database.

We are not responsible for the loss, corruption, or unauthorized access of any user content. You are responsible for maintaining appropriate backups of your data.

7. Acceptable Use Policy

You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate ChurchManager, Inc., a ChurchManager employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm ChurchManager, Inc. or users of the Service.
• To upload or transmit viruses, malware, or other malicious code.

Additionally, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
• Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose.
• Use any device, software, or routine that interferes with the proper working of the Service.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Limitation of Liability

In no event shall ChurchManager, Inc., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

Our liability is limited to the maximum extent permitted by law. In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not permitted, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless ChurchManager, Inc., its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your user content, any use of the Service's content, services, and products other than as expressly authorized in these Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
